Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SNXS Creators Pad platform ("Platform") operated by SkyNet X Solutions LLC FZ ("SNXS," "we," "our," or "us"). By accessing or using the Platform, you agree to comply with these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform.

1. Acceptance of Terms

By creating an account, registering with your Twitter/X account, or otherwise using the Platform, you acknowledge that:

• You have read and understood these Terms
• You agree to be legally bound by them
• You consent to the processing of your data in accordance with UAE PDPL (Federal Decree-Law No. 45 of 2021)

2. Eligibility

To use the Platform, you must:

• Be at least 18 years old
• Have full legal capacity to enter binding agreements under UAE law
• Provide accurate and complete account information
• Maintain an active Twitter/X account
• Comply with these Terms, campaign rules, and all applicable UAE laws

We may require identity verification if needed for payouts, fraud prevention, or compliance.

3. User Accounts

3.1 Account Creation & Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• Ensuring the security of your connected Twitter/X and Web3 wallets
• All activities carried out under your account

SNXS is not liable for loss or misuse resulting from compromised credentials.

3.2 Account Suspension & Termination

We may suspend or terminate your account at our discretion if:

• You violate these Terms or campaign rules
• You engage in fraud, manipulation, or unauthorized activities
• You compromise platform security or harm other users
• Required by UAE law or regulatory authority

Suspension or termination may result in loss of rewards.

4. Campaign Participation

4.1 Requirements

To participate in campaigns, you must:

• Meet campaign eligibility criteria (followers, verification, account age, etc.)
• Use required hashtags, mentions, and content themes
• Post original content that complies with the campaign guidelines

Our system automatically validates and tracks your posts using Twitter/X APIs.

4.2 Prohibited Activities

You agree not to:

• Use bots, automation tools, or fake accounts
• Buy or artificially inflate engagement
• Manipulate scoring or attempt to bypass system rules
• Plagiarize or violate any intellectual property rights
• Post defamatory, offensive, illegal, or harmful content
• Create multiple accounts for unfair advantage
• Attempt to reverse-engineer or disrupt the Platform

Violations may lead to permanent account banning and forfeiture of rewards.

4.3 Disqualification

SNXS may disqualify users at any time for:

• Violation of campaign rules
• Fraud, manipulation, or abuse
• Posting harmful, negative, or brand-damaging content
• Violating UAE laws or social media regulations

Disqualified participants lose eligibility for rewards.

5. Rewards, Earnings & Payments

5.1 Earning Rewards

Rewards are calculated using:

• Campaign-specific scoring rules
• Mindshare metrics
• AI content quality scores
• Engagement and performance analytics

Scoring calculations and reward allocation are at SNXS's sole discretion.

5.2 Payment Requirements

To receive earnings, you must:

• Provide a valid Web3 wallet address (BNB Chain or Ethereum)
• Verify wallet ownership
• Ensure your wallet is eligible to receive payouts

Payments are processed after campaign completion, winner verification, and fraud checks.

SNXS is not responsible for:

• Incorrect wallet addresses
• Lost funds due to user error
• Exchange fees, gas fees, or tax implications

5.3 No Guarantee

Participation does not guarantee any rewards. Rewards depend solely on performance and campaign rules.

6. Referral Program

Referral rewards may be offered to users who invite new creators.

To qualify:

• The referred user must connect their Twitter/X account
• Join at least one campaign
• Post at least one eligible piece of content

Fraudulent referrals (fake accounts, self-referrals, automated sign-ups) will result in immediate account termination and forfeiture of rewards.

7. Intellectual Property Rights

7.1 Platform Content

All Platform content, design, code, trademarks, and materials are owned by SNXS or its licensors and are protected under UAE copyright and IP laws.

Users may not copy, reproduce, or distribute Platform content without permission.

7.2 User Content (Creator Posts)

You retain ownership of your posts and content.

By joining campaigns, you grant SNXS and the campaign brands a non-exclusive, royalty-free, worldwide license to:

• Display your posts on leaderboards
• Use content in campaign performance reporting
• Showcase your posts for marketing or promotional purposes

This license is required for campaign operation and analytics.

8. Disclaimers & Liability

8.1 Service Availability

The Platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted service, perfect scoring accuracy, or error-free operations.

8.2 Limitation of Liability

To the fullest extent permitted under UAE law, SNXS is not liable for:

• Indirect, incidental, or consequential damages
• Lost earnings or lost opportunities
• Issues caused by third-party services (Twitter/X, Web3 wallets, blockchain networks)
• Losses caused by user errors, wallet issues, or API failures

Our total liability will not exceed the total amount paid to you in the preceding 3 months.

9. Modifications to the Terms

We may update these Terms from time to time. Continued use of the Platform indicates acceptance of updated Terms.

Material changes will be communicated via email or Platform notifications.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the Dubai Courts.
